Eligibility:
Participants must be 18 years or older and not an appointed or elected official, member or other officer or employee of the City or State of New York, or of the Metropolitan Transportation Authority (“MTA”), or MTA’s affiliates and subsidiaries which consist of the New York City Transit Authority, Manhattan & Bronx Surface Transit Operating Authority, Staten Island Rapid Transit Operating Authority, Metro-North Commuter Railroad, Long Island Rail Road, Triborough Bridge and Tunnel

Authority, Metropolitan Suburban Bus Authority, and Metropolitan Transportation Authority Card Company, USGBC New York, or Jones Lang LaSalle Americas, Inc.

Advertising and Photography Rights:
By entering the competition, MTA may reproduce and use any materials related to the Event in any media, for the following purposes; i) as an example of a GCT sponsorship, in connection with MTA’s efforts to market and promote GCT to potential tenants, other occupants and other sponsors, and other new business opportunities and the general public; ii) historical, archival and display purposes.  All materials will be credited to the appropriate participants.

Judging and Winning Design*:
The jury shall determine winner eligibility at its sole and absolute discretion. All decisions made by the judges are final.  MTA shall own the copyright to the winning design submissions in its entirety.  Winning designs shall not constitute award of a contract for future design development and fabrication.  Five finalists will be chosen and designs will be displayed within Grand Central for two weeks prior to the announcement of the winner.  The winner will be announced on July 1, 2008 at a press conference on the Main Concourse at Grand Central Terminal.

*Please note that submissions will be accepted from anywhere in the world.  However travel expenses will not be provided for attendance to the announcement of the winner.

Indemnification:
a.       Each party ("Indemnifying Party") agrees to defend, indemnify and hold harmless the other parties ("Indemnified Parties")   including their respective parents, affiliates, directors, officers, and employees , from and against any and all actions, liabilities, claims, suits, damages, judgments, costs and expenses, debts, demands, obligations or losses (collectively, Losses) brought or claimed by third party entity or individual  that is  not an employee, director, officer or agent of an Indemnifying Party or an  Indemnified Party, against one or both Indemnified Parties, that arises  out of or in connection with (a) the Indemnifying Party's actual (defense and indemnification) or alleged (defense but indemnification only if actual) infringement or misappropriation of the copyright, patent, service mark, trademark or other intellectual property or proprietary rights of such third party; (b) the Indemnifying Party's  breach of any term, representation or warranty under this agreement; and (c) any act or omission of the Indemnifying Party or  its employees  in the performance of the Event.

b.       A party seeking defense or indemnification shall give the other party prompt notice of such request and cooperate in the investigation and defense of the underlying matter at no charge.  The party responsible for defense and indemnification shall control the defense.

c.        In the event a liability, claim or suit is raised against an Indemnified Party, the parties shall use reasonable efforts to agree upon the applicable indemnification obligations, if any, and, in the absence of agreement, to agree upon a defense strategy that will jointly protect all interested Indemnified Parties.
